1. Acceptance
By creating an account or using the service, you agree to these terms on behalf of yourself and the business you represent. If you do not agree, do not use the service.
2. Account & Workspace
You are responsible for maintaining the confidentiality of your account credentials and for all activity in your workspace. You must be at least 18 years old and legally able to enter into these terms.
3. Acceptable Use
- Do not use the service to send unlawful, abusive, harassing, or misleading communications.
- Do not use the AI Receptionist or SMS features for unsolicited bulk marketing prohibited by law (including the TCPA and CAN-SPAM Act).
- Do not attempt to breach isolation between workspaces, reverse engineer the service, or interfere with its normal operation.
- You are responsible for having lawful authority to record and process calls in all jurisdictions where your callers are located.
4. Subscription & Billing
Paid plans are billed in advance on a recurring basis. Plans may include usage-based components (such as minutes, SMS, or AI usage) billed as consumed. Fees are non-refundable except where required by law. You can cancel future renewals at any time; access continues through the end of the current billing period.
5. Customer Content
You retain ownership of the content you and your team put into the platform ("Customer Content"). You grant IZionAI the limited right to host, process, transmit, display, and back up Customer Content solely to operate and improve the service for you.
6. AI Output
The service uses AI to draft replies, transcripts, summaries, and suggested actions. AI output can be incorrect. You are responsible for reviewing AI-generated output before relying on it in customer communications, appointments, or business decisions.
7. Third-Party Services
The service integrates with third parties (telephony, calendar, email, payments). Your use of those third parties is governed by their own terms. We are not responsible for third-party outages or actions.
8. Service Availability
We work to keep the service available but do not guarantee uninterrupted operation. Scheduled maintenance, third-party outages, or force-majeure events may temporarily affect availability.
9. Termination
We may suspend or terminate accounts that violate these terms, create risk to other customers, or fail to pay fees when due. You may terminate at any time from your workspace or by emailing izion0718@gmail.com.
10. Disclaimer
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IZIONAI WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS OR REVENUE, ARISING OUT OF OR IN CONNECTION WITH THE SERVICE. OUR AGGREGATE LIABILITY IN ANY 12-MONTH PERIOD WILL NOT EXCEED THE FEES YOU PAID FOR THE SERVICE DURING THAT PERIOD.
12. Indemnification
You will defend and indemnify IZionAI against claims arising from your Customer Content, your use of the service in violation of these terms, or your violation of applicable law (including telecommunications and privacy laws).
13. Governing Law
These terms are governed by the laws of the State of California, United States, without regard to conflict-of-laws principles. The exclusive venue for disputes is the state and federal courts located in that jurisdiction.
14. Changes
We may update these terms. Material changes will be communicated in-app or by email. Continued use after the effective date constitutes acceptance.
